How dilution works in a priced round
When you raise a priced round, new shares are issued, so everyone's percentage shrinks even though your number of shares doesn't change. The new investor's stake is raise ÷ post-money (post-money = pre-money + raise). An option pool is usually created pre-money, which means it dilutes existing shareholders, not the incoming investor. This calculator carves the pool pre-money and dilutes existing holders by the investor stake plus the pool — the common "pre-money pool" convention. Real term sheets vary, so treat this as a fast estimate, not legal advice.
